The Registrant recently completed a significant acquisition (as reported on a Current Report on Form 8-K filed on October 31, 2007) and as result has a new Chief Executive Officer effective October 25, 2007 and a new Chief Financial Officer effective November 12, 2007. As a result, the Registrant could not complete its Quarterly Report on Form 10-Q for the quarter ended September 30, 2007 without unreasonable effort and expense.
